Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “Customer,” or “User”) and Akamai Flow LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the products, services, and software solutions provided by Akamai Flow LLC, including but not limited to Software-as-a-Service (SaaS) platforms, digital tools, and related setup or consulting services.

By purchasing, subscribing to, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not purchase or use any of our services.

2. Services Provided

Akamai Flow LLC provides access to a suite of cloud-based business management, marketing, and communication software solutions designed to help automate and streamline business operations.

Our services may include but are not limited to CRM tools, workflow automations, communication systems, appointment scheduling, review management, and integrations with external software.

All services are offered as-is and subject to the terms of these Terms and Conditions. Akamai Flow LLC may use or rely on third-party technology infrastructure, hosting, or software integrations to provide its services. The Company is not responsible for performance issues, interruptions, or downtime caused by such third-party systems.

3. Fees and Payments

All service plans are billed according to the pricing displayed at the time of purchase. Each plan requires a one-time non-refundable setup fee of $100 in addition to the recurring monthly subscription rate.

3.1. Billing Authorization

By subscribing, you authorize Akamai Flow LLC and its payment processor (e.g., Stripe) to automatically charge your chosen payment method for all applicable fees, including recurring monthly charges, setup fees, and any authorized add-ons.

3.2. Grace Period for Late Payments

If a payment fails or becomes overdue, you will be granted a five (5) day grace period to update your payment method and resolve the balance.
If payment is not received within this grace period, Akamai Flow LLC reserves the right to suspend or terminate your account until the outstanding balance is paid in full. Continued failure to pay may result in permanent account closure.

4. Refund and Cancellation Policy

4.1. Setup Fees

The $100 setup fee is non-refundable under all circumstances, as it covers the cost of configuration, onboarding, and account creation.

4.2. Subscription Cancellations

Clients may cancel their subscription at any time by submitting written notice to [email protected].

Upon cancellation, your account will remain active and accessible for two (2) weeks from the date of cancellation notice. After that period, your access to the platform and all related data will be permanently disabled.

A minimum two-week notice before your next billing cycle is recommended to avoid being charged for the next month.

4.3. Refunds

Due to the nature of digital SaaS services, no refunds are provided once a billing cycle has started, unless otherwise required by law.

5. Client Responsibilities

By using our services, you agree to:

- Provide accurate and up-to-date information during onboarding.

- Maintain the confidentiality of your login credentials.

- Use the software in compliance with all applicable laws, including data protection and privacy regulations.

- Not misuse, copy, resell, or modify any part of the software without written permission.

- Be responsible for the accuracy and legality of all content, messages, or communications sent through the software.

Akamai Flow LLC is not responsible for any legal or financial issues arising from your misuse of the system or data.

6. Service Availability and Modifications

Akamai Flow LLC strives to maintain consistent uptime and service performance. However, occasional maintenance, software updates, or third-party interruptions may occur.

We reserve the right to modify, suspend, or discontinue any portion of our services at any time, with or without notice, for maintenance or business purposes.

The Company shall not be held liable for any downtime, data loss, or interruption caused by maintenance activities, server issues, or third-party dependencies.

7. Intellectual Property

All materials, including website content, templates, branding, and documentation, are owned or licensed by Akamai Flow LLC.

You are granted a limited, non-exclusive, non-transferable right to use the software and materials solely for your own business purposes.

You may not copy, resell, distribute, or use any part of the platform for commercial gain outside of your authorized account.

8. Limitation of Liability

To the maximum extent permitted by law, Akamai Flow LLC, its affiliates, employees, and agents shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, arising from the use or inability to use our services.

8.1. Business Performance Disclaimer

Akamai Flow LLC provides software tools designed to assist with marketing automation, communication, and operational efficiency. However, we make no guarantees regarding business growth, client acquisition, revenue generation, or other financial or performance outcomes.
You acknowledge and agree that Akamai Flow LLC is not liable or responsible for the success, performance, or results of your business, and no legal claims may be made against the company for lack of expected business improvement or growth.

Our total liability for any claim shall not exceed the total amount paid by the client to Akamai Flow LLC in the preceding 30 days.

9. Indemnification

You agree to indemnify and hold harmless Akamai Flow LLC, its officers, employees, and partners from any claims, damages, or losses arising from your breach of these Terms or misuse of our services.

10. Dispute Resolution and Mediation

These Terms shall be governed by and construed under the laws of the State of Hawaii, without regard to its conflict of law principles.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation.
If a resolution cannot be reached, the parties shall submit the matter to non-binding mediation conducted in Honolulu County, Hawaii, before pursuing any further legal action.

Each party shall be responsible for its own costs of mediation unless otherwise agreed in writing.
Only if mediation fails may either party pursue formal legal remedies in the courts located in Honolulu County, Hawaii.

11. Termination

Akamai Flow LLC may suspend or terminate your access to the software at any time if you violate these Terms, fail to pay after the 5-day grace period, or misuse the platform. Upon termination, your right to use the software ceases immediately.

12. Amendments

We may update or revise these Terms at any time. The latest version will always be posted on our website. Continued use of our services constitutes acceptance of any changes.
